1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," the "gym," or the "client") and GymNepal Pro ("we," "us," or "our"), concerning your access to and use of the gymnepal.pro website as well as any other media form, SaaS platform, or mobile application related, linked, or otherwise connected thereto.

2. Intellectual Property Rights

Unless otherwise indicated, the Site and the Platform are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

3. User Representations

By using the Site or Platform, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update such registration information as necessary.
• You have the legal capacity and you agree to comply with these Terms and Conditions.
• You will not use the platform for any illegal or unauthorized purpose (including but not limited to fraudulent billing practices or member data exploitation).

4. Subscriptions and Payments

GymNepal Pro is a subscription-based Software as a Service (SaaS). We offer a 2-day free trial. Following the trial, continued access requires an active paid subscription. Payments can be made via authorized gateways in Nepal such as eSewa or Khalti. All fees are non-refundable unless otherwise stated explicitly in a separate agreement. Failure to pay will result in the suspension of your gym's dashboard access.

5. Client Data Ownership

You retain all rights and ownership to the member data, attendance logs, and financial records generated by your business while using GymNepal Pro. We claim no intellectual property rights over the material you provide or process using the platform. We maintain this data securely solely for the purpose of providing the service to you.

6. Service Unavailability

We strive to maintain 100% uptime but do not guarantee that the platform will always be available. We may experience hardware, software, or other problems or need to perform maintenance resulting in interruptions, delays, or errors. We will not be liable to you for any loss, damage, or inconvenience caused by your inability to access or use the platform during any downtime.
